Description:
Expression of Interest are invited for Engagement of a Transaction Adviser to Develop Business Framework for Nigerian Mining Investment Holding Company Limited (Nmihcl) and Nimco Talc Limited, Isanlu. The main objective of this consultancy is to provide technical and operational advice, policy options and support to the Federal Government of Nigeria (FGN) regarding the commencement of operations of the NMIHCI. The company is expected to be run as a sustainable limited liability company in line with CAMA and have very minimal or no funding from the Federal Government of Nigeria. The prospective adviser is expected to: a. Review the existing laws establishing NMC joint ventures/MOU Associated Companies and the Nigerian Mining Act 2007. b. Conduct due diligence review on NMC joint ventures/MOU/Associated Companies. c. Provide advice on an appropriate legal and regulatory framework. d. Provide the necessary blueprint requisite advice and support required for the FGN to successfully commence and implement the setting up and operations of NMIHCL as a limited liability investment holding company in a manner that is consistent with relevant national policies; laws and international best practices; and, e. Provide advice on the best strategy to adopt for the exercise. f. Provide necessary technical (including valuation) and analytical support to the Bureau regarding the implementation of the report submitted by the consultant. g. Developed a robust business model with detailed core operational areas, s that NMIHCL can be effectively run in the post-set-up phase thus making it commercially viable and attractive to investors in the mining sector. h.
